Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Financial Ledger (“Service”), operated by Financial Ledger (“we,” “us,” “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of Service
Financial Ledger is bookkeeping and expense-categorization software. It automatically categorizes business transactions into IRS-designated expense categories and provides estimated tax liability calculations based on publicly available IRS rules. The Service is not a CPA firm, Enrolled Agent, attorney, financial advisor, or tax preparation service. See Section 10 (Tax Disclaimer) below.
2. Eligibility
You must be at least 18 years old and authorized to conduct business in the United States to use the Service. By creating an account you represent that you meet these requirements.
3. Account Registration & Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@financialledger.app of any unauthorized access. We are not liable for losses resulting from unauthorized use of your account.
4. Subscriptions & Billing
4.1 Pricing
Subscriptions are billed annually (Starter $99/yr, Professional $179/yr, Business $299/yr) or monthly (Starter $12/mo, Professional $22/mo, Business $35/mo). All prices are in USD and subject to applicable taxes.
4.2 Auto-Renewal (FTC / ROSCA Compliance)
Your subscription automatically renews at the end of each billing period(annually or monthly, per your chosen plan) at the then-current price unless you cancel before the renewal date. You will receive a renewal reminder by email at least 7 days before your renewal date. You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period — you retain access through that date.
4.3 Free Trial
Creating an account is free and does not require a payment method. When you start a paid plan, your payment method is collected at checkout and your 7-day free trial begins; you are not charged until the trial ends. If you cancel before the trial ends, you will not be charged.
4.4 Refund Policy
Payments are non-refundable after the 7-day free trial period. If you believe you were charged in error, contact support@financialledger.app within 30 days.
4.5 Payment Processing
Payments are processed by Stripe, Inc. We never store, see, or have access to your full card number. Your card data is governed by Stripe's Privacy Policy.
5. Bank Account Connections (Plaid)
Bank connections are facilitated by Plaid Inc. We never receive or store your bank username, password, or security answers. We receive only a tokenized access credential. By connecting a bank account you authorize Plaid to share your transaction data with us for the purpose of expense categorization. You can revoke this authorization at any time from Settings. Plaid's services are governed by Plaid's End User Privacy Policy.
6. PDF Statement Upload
If you choose to upload bank statement PDFs, you consent to our processing the document to extract transaction data. Raw PDF files are automatically deleted after 30 days per our Privacy Policy. You represent that you own the statement and have the right to share it for this purpose.
7. Acceptable Use
You agree not to:
- Upload documents you do not own or have no right to share
- Attempt to reverse-engineer, scrape, or circumvent security measures
- Use the Service for any unlawful purpose
- Share your account with other individuals or businesses
8. Intellectual Property
The Service, including all software, AI models, and content, is owned by Financial Ledger and protected by U.S. copyright law. You retain ownership of your own financial data.
9. User Data & Privacy
Your use of the Service is subject to our Privacy Policy and GLBA Privacy Notice, incorporated herein by reference.
10. Tax Disclaimer — IMPORTANT
Financial Ledger is bookkeeping software. It is NOT a CPA, Enrolled Agent, tax attorney, financial advisor, or licensed tax preparation service. All categorizations, tax estimates, and reports generated by the Service are informational only and do not constitute tax advice, legal advice, or financial advice. Tax estimates are based on simplified calculations using publicly available IRS rules and may not account for your specific circumstances, deductions, credits, or state taxes. You are solely responsible for the accuracy and completeness of your tax filings. Financial Ledger expressly disclaims all liability for any penalties, interest, or other consequences arising from reliance on Service outputs without independent professional review. 11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI CATEGORIZATIONS WILL BE ACCURATE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINANCIAL LEDGER'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100 USD. IN NO EVENT SHALL FINANCIAL LEDGER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, TAX PENALTIES, OR PROFESSIONAL FEES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless Financial Ledger and its officers, employees, and agents from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Dispute Resolution & Arbitration
Any dispute arising from these Terms shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You waive your right to a jury trial and to participate in class action lawsuits. This does not apply to claims that may be brought in small claims court. Arbitration shall take place in the state where you reside or, at your option, via videoconference.
15. Governing Law
These Terms are governed by the laws of the U.S. state in which the operator of the Service maintains its principal place of business, without regard to conflict of law provisions. The operator's current principal place of business is available on request at support@financialledger.app.
16. Termination
We may terminate or suspend your account for material violation of these Terms upon notice. You may close your account at any time from Settings. Upon termination, your subscription access ends at the close of the current billing period and your data is handled per our Privacy Policy.
17. Changes to Terms
We may update these Terms. We will provide at least 14 days' notice by email for material changes. Continued use after the effective date constitutes acceptance.
